The Board of Directors of ASORN is composed of the officers and directors elected by the membership, the Immediate Past President or the President-Elect, and the Provider Unit Chair who is appointed by the President. The Board is charged with the overall responsibility of conducting the affairs of the Society and acts in the best interests of the membership by conforming to the purposes for which the Society was formed as outlined in the Bylaws.
Board members serve as liaisons to committees, attend all board meetings, stay informed on the activities of the organization, accept special assignments, prepare monthly and annual reports, formulate and compile an historical account of contributions and activities during the term.
President
The President presides at all meetings of the Society’s membership and Board of Directors. The President is responsible to the Board and to the membership of the Society, gains the Board’s approval for all Society activities, speaks on behalf of the membership and Board in all official matters, is ASORN’s official liaison to nursing organizations and other groups, appoints special committees, appoints an alternate to serve in the President’s place and is an Ex-Officio member of most committees.
President-Elect
The President-Elect utilizes the term of office for preparing for assumption of the office of President, performs the duties of President in the event of the President’s absence or inability to act, and serves as liaison to the Nominating Committee.
Immediate Past President
The Past President aids the President in an advisory capacity with regard to the Society’s activities, performs the duties of the President in the event of the President’s absence or inability to act in the period when there is no President-Elect, has all the duties and powers of a member of the Board of Directors and serves as liaison to the Nominating Committee during the period when there is no President-Elect.
Secretary/Treasurer
The Secretary/Treasurer assumes all secretarial duties of the Society, monitors all financial accounts of the Society, presents a written financial report at each Board meeting, reviews all financial statements, compiles an annual report, corresponds with other organizations or individuals as needed or directed by the Board, assists the President in preparing agendas for meetings, writes Board Highlights following each Board meeting, and represents the Society at meetings of other organizations as directed.
Provider Unit Chair
The Provider Unit Chair coordinates and oversees all educational activities that the organization provides and co-provides, working closely with the Annual Meeting Director, Regional Meeting organizers, Co-Provided meeting organizers, and Independent Learning Module authors.
Annual Meeting Director
The Annual Meeting Director develops and coordinates all aspects of the Annual Meeting program in consultation with the Provider Unit Chair. The Director selects the Program Planning Committee (with Board approval), submits program plans to the Board at the winter Board meeting, assures the printed program for the Annual Meeting is published and distributed to the membership, communicates program progress through Insight, and ensures that all responsibilities of the committee are carried out at the Annual Meeting.

Program Planning Committee assists the Annual Meeting Director with the planning, development, and implementation of the Annual Meeting.
Junior and Senior Directors at Large
The Junior and Senior Directors serve as liaisons to committees and other organizations as appointed by the President. Each carries out duties or assignments as directed by the President and submits monthly and annual reports. The Senior Board Member has the responsibility of maintaining the Strategic Plan for the Society including reviewing and monitoring the progress of the Strategic Plan, compiling Board of Director recommendations, and submitting a written report of these plans. A Strategic Plan report is submitted to the membership at each Annual Meeting and updates are provided in the journal as needed or directed. The Junior Director serves as Liaison to all committees falling under the Membership Development Goal.
